These Terms and Conditions (the "Agreement") govern the provision and use of the Services provided by UBench ("Provider", "we", "us", "our") to the Customer ("Client", "you", "your"). By signing these Terms and Conditions, you agree to be bound by their terms.

Services:

• GTEstimate, an innovative application providing detailed evaluations of costs, including parts pricing and labor times, for vehicles undergoing mechanical maintenance and repairs or bodywork repairs.
• Connection to the UBench Web platform.
• Configuration: The technical environment consisting of the necessary software and hardware setup enabling the use of the Services, as detailed below.
• Maintenance: Actions and services provided by UBench to support and enhance the use and functionality of the Services.
• Support: Assistance provided to the Client to ensure correct usage of the Services and to address and resolve any issues arising from its use.

The purpose of these Terms and Conditions is to define the terms under which UBench grants you access to and use of the Services to enhance the operational efficiency of your business activities.

UBench grants you a non-exclusive, non-transferable, and non-sublicensable license to use the Services under these Terms and Conditions. This license is valid for the term of these Terms and Conditions unless terminated according to the provisions herein.

• Duration: These Terms and Conditions is effective upon confirmation date and will initially last for one (1) year. It will automatically renew for subsequent one-year periods unless terminated by either party giving at least three (3) months' written notice prior to the end of the current term.
Account without activity over the past 6 months will be deactivated.

• Early Termination: You may terminate this Terms and Conditions early by registered letter info@ubench.com in specific cases such as legal incapacity to enforce the Agreement or significant delays by UBench in updates critical to the Client.
• Termination for Breach: Either party may terminate this Terms and Conditions with immediate effect upon failure of the other party to cure a breach within ten (10) days of notification.
• Consequences of Termination: Upon termination, you must cease all use of the Services, and access will be revoked. No refunds will be provided for any prepaid fees or portions thereof.

Pricing for GT Estimate is per estimation, with invoices sent on a monthly basis.
Pricing for the connection to the UBench Web Platform is per establishment, with invoices billed annually.
Amounts are always exclusive of VAT.
Invoices are payable within 30 days of the invoice date.

The fees are subject to annual revision based on the consumer price index as detailed in these Terms and Conditions, effective each January 1st.

You are permitted to use the Services in accordance with these Terms and Conditions. You may not modify, reverse engineer, or merge the Services with other software. The Services are provided for use at the operational sites specified in these Terms and Conditions and must not be shared with third parties.

UBench provides the Services "AS IS" without warranties except as expressly stated in the Terms and Conditions. UBench is not liable for indirect damages or losses arising from the use of the Services.

UBench retains all rights, title, and interest in the Services. No intellectual property rights are transferred under theseTerms and Conditions.

•  These Terms and Conditions constitutes the complete agreement between the parties.

• If any provision of these Terms and Conditions is held invalid or unenforceable, the remainder of the Terms and Conditions shall continue in effect.
• These Terms and Conditions are governed by the laws of Belgium, and the courts of Antwerp will have exclusive jurisdiction over any disputes.
